Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the daemon mobile application and related services (collectively, the "Services") provided by YMMV LLC ("we," "us," or "our").

By downloading, installing, or using daemon, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.


ACCEPTANCE OF TERMS

By creating an account, accessing, or using daemon, you affirm that you are at least 13 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using daemon on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.



LICENSE TO USE

Grant of License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use daemon on devices that you own or control for your personal or internal business purposes.

License Restrictions
You agree not to:

  • Copy, modify, or create derivative works of daemon or any part thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of daemon
  • Rent, lease, lend, sell, redistribute, or sublicense daemon
  • Remove, alter, or obscure any proprietary notices on daemon
  • Use daemon in any way that violates any applicable laws or regulations
  • Use daemon to store or transmit malicious code, viruses, or harmful data
  • Interfere with or disrupt the integrity or performance of daemon
  • Attempt to gain unauthorized access to daemon or its related systems
  • Use daemon to violate the security, integrity, or privacy of any third party
  • Use automated scripts or bots to access daemon


YOUR ACCOUNT AND VAULT

Account Security
You are solely responsible for:

  • Maintaining the confidentiality of your master password, PIN, and any other authentication credentials
  • All activities that occur under your account
  • The security of any hardware security keys (such as YubiKeys) you register with daemon
  • The security of devices authorized to access your vault
  • Ensuring your biometric authentication (Face ID/Touch ID) is properly secured
  • Any data stored in your vault

Zero-Knowledge Architecture
daemon is built with a zero-knowledge architecture, which means:

  • We cannot access, view, or recover your vault data
  • We cannot reset or recover your master password
  • If you lose your master password or authentication credentials, your vault data will be permanently inaccessible
  • You are solely responsible for backing up your master password and recovery information
  • We strongly recommend maintaining secure offline backups of your recovery codes

Data Loss
You acknowledge and agree that:

  • Loss of your master password will result in permanent loss of access to your vault
  • We cannot recover lost or deleted vault data
  • You are responsible for maintaining backups of critical data
  • We are not liable for any data loss resulting from your actions or failure to maintain proper backups


PURCHASES AND SUBSCRIPTIONS

In-App Purchases
daemon may offer premium features available through in-app purchases processed by Apple's App Store. Your purchases are subject to:

  • Apple's App Store Terms of Service
  • The pricing and payment terms displayed at the time of purchase
  • Apple's refund policies, not our refund policies

Subscriptions
If you purchase a subscription:

  • Your subscription will automatically renew unless you cancel at least 24 hours before the end of the current period
  • Your Apple account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage or cancel your subscription through your Apple account settings
  • No refunds will be provided for unused portions of a subscription period
  • If you cancel, you will retain access to premium features until the end of your current billing period

Price Changes
We reserve the right to modify our pricing at any time. Price changes will not affect current subscription periods but will apply to subsequent renewals. We will provide reasonable notice of price changes.



THIRD-PARTY SERVICES

Dropbox Integration
daemon offers optional synchronization through Dropbox:

  • Your use of Dropbox is subject to Dropbox's Terms of Service and Privacy Policy
  • We are not responsible for Dropbox's service availability, reliability, or security
  • All data synchronized through Dropbox is encrypted on your device before transmission
  • You are responsible for managing your Dropbox account and storage
  • We are not liable for any data loss or corruption that may occur during synchronization

Hardware Security Keys
If you use hardware security keys (such as YubiKeys):

  • You are responsible for the security and safekeeping of your hardware keys
  • We are not responsible for lost, stolen, or damaged hardware keys
  • You should register backup hardware keys to prevent lockout
  • We are not affiliated with hardware key manufacturers


INTELLECTUAL PROPERTY

daemon and all related intellectual property rights are and shall remain the exclusive property of YMMV LLC. These Terms do not grant you any rights to:

  • Our trademarks, service marks, logos, or brand names
  • The daemon software code, algorithms, or design
  • Any patents, copyrights, or other proprietary rights related to daemon

All rights not expressly granted to you in these Terms are reserved by us.



PROHIBITED USES

You agree not to use daemon:

  • For any unlawful purpose or in violation of any applicable laws or regulations
  • To store or facilitate access to information that infringes on intellectual property rights
  • To store credentials for illegal activities or unauthorized access to systems
  • In any manner that could damage, disable, overburden, or impair our systems
  • To circumvent any security features or access controls
  • To collect or harvest information about other users
  • In connection with any form of spam, phishing, or fraudulent activity
  • To transmit malware, viruses, or other malicious code
  • In a manner that violates the rights of others
  • To impersonate any person or entity


SECURITY FEATURES AND LIMITATIONS

Security Measures
daemon implements advanced security features including:

  • Multi-layer cascading encryption (XChaCha20-Poly1305, AES-256-GCM, Serpent-256)
  • Multi-factor authentication (biometric, hardware key, PIN, master password)
  • Anti-tampering and intrusion detection systems
  • Jailbreak and debugger detection
  • Secure memory management and automatic data wiping
  • Optional post-quantum cryptography

Security Limitations
You acknowledge that:

  • No security system is completely impenetrable
  • We cannot guarantee absolute security of your data
  • Security depends on factors outside our control, including your device security and authentication practices
  • Jailbroken or compromised devices may reduce security effectiveness
  • You use daemon at your own risk

Security Best Practices
We recommend that you:

  • Use a strong, unique master password
  • Enable all available authentication layers
  • Keep your devices updated with the latest security patches
  • Do not jailbreak or root devices used with daemon
  • Maintain secure offline backups of recovery codes
  • Register multiple hardware security keys as backups
  • Review authorized devices regularly and revoke access to unused devices


PANIC MODE AND DURESS FEATURES

daemon includes panic mode and duress detection features:

  • These features are provided "as-is" for emergency situations
  • We make no guarantees about the effectiveness of panic mode in any specific situation
  • You are responsible for configuring and testing these features
  • Panic mode should not be relied upon as your sole security measure
  • We are not liable for any consequences resulting from the use or failure of panic mode features


DISCLAIMERS

DAEMON IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
  • WARRANTIES THAT DAEMON WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF DAEMON
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED

WE DO NOT WARRANT THAT DAEMON WILL MEET YOUR REQUIREMENTS OR THAT ANY DATA STORED IN DAEMON WILL BE SECURE OR NOT LOST OR CORRUPTED.

YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF OR ACCESS TO DAEMON, YOUR DEALING WITH ANY OTHER USER, AND ANY DATA YOU STORE IN YOUR VAULT.



LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YMMV LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
  • ANY LOSS OR CORRUPTION OF DATA OR VAULT CONTENTS
  • ANY UNAUTHORIZED ACCESS TO YOUR VAULT OR DATA
  • ANY INTERRUPTION OR CESSATION OF DAEMON
  • ANY BUGS, VIRUSES, OR MALWARE TRANSMITTED TO OR THROUGH DAEMON
  • ANY ERRORS OR OMISSIONS IN DAEMON
  • ANY LOSS RESULTING FROM YOUR LOSS OF AUTHENTICATION CREDENTIALS

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.



INDEMNIFICATION

You agree to indemnify, defend, and hold harmless YMMV LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of daemon
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations
  • Any data you store in your vault
  • Any unauthorized access to your account resulting from your actions or negligence


MODIFICATIONS TO DAEMON

We reserve the right to:

  • Modify, suspend, or discontinue daemon (or any part thereof) at any time with or without notice
  • Change features, functionality, or pricing
  • Impose limits on certain features or restrict access to parts of daemon
  • Update these Terms at any time

We will not be liable to you or any third party for any modification, suspension, or discontinuance of daemon.



TERMINATION

Termination by You
You may stop using daemon at any time. You can delete your vault and all associated data from within the app.

Termination by Us
We reserve the right to suspend or terminate your access to daemon at any time, with or without notice, for:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Any other reason at our sole discretion

Effect of Termination
Upon termination:

  • Your license to use daemon will immediately terminate
  • You must cease all use of daemon and delete it from your devices
  • We are not obligated to maintain or provide any data from your vault
  • You will not be entitled to any refunds of fees paid
  • Sections of these Terms that by their nature should survive termination will survive


GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions.

Dispute Resolution
Any dispute arising out of or relating to these Terms or daemon shall be resolved through:

  • Good faith negotiation between the parties
  • If negotiation fails, binding arbitration in accordance with the rules of the American Arbitration Association
  • Arbitration shall take place in [Your Location]
  • The arbitrator's decision shall be final and binding
  • Each party shall bear its own costs and fees

Class Action Waiver
You agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Jurisdiction
You consent to the exclusive jurisdiction and venue of courts located in [Your County and State] for any disputes not subject to arbitration.



EXPORT COMPLIANCE

daemon uses strong encryption technology and may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not:

  • Located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
  • Listed on any U.S. Government list of prohibited or restricted parties


SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.



ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YMMV LLC regarding daemon and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding daemon.



WAIVER

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.



ASSIGNMENT

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.



FORCE MAJEURE

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.



CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms in the app
  • Updating the "Last Updated" date at the top of these Terms
  • Sending you an in-app notification or email (if we have your email address)

Your continued use of daemon after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using daemon.

We welcome your feedback and suggestions about daemon. Any feedback you provide is entirely voluntary, and we will be free to use such feedback as we see fit without any obligation to you.
